General Confidentiality Approach

This page describes Goafreet’s general confidentiality approach and operational standards. It does not replace a separately executed bilateral Non-Disclosure Agreement (NDA). Goafreet readily executes customized mutual NDAs prior to receiving proprietary client records upon request.

Confidential Information Defined

Confidential Information encompasses non-public, proprietary technical, financial, marketing, and commercial data disclosed by one party to the other, including business plans, software source code, customer databases, pricing models, unpublished creative concepts, and security credentials.

Standard of Care & Use Restrictions

The receiving party agrees to protect confidential information using reasonable care, use it strictly for fulfilling the contracted engagement, and restrict disclosure to personnel and contractors who need to know and are bound by confidentiality obligations.

Exclusions from Confidentiality

Confidential Information does not include information that is publicly known through no breach, was already in the receiving party’s lawful possession, is independently developed without reference to the disclosed information, or is lawfully obtained from an independent third party.


Contractual Hierarchy & Precedence

This document forms part of Goafreet’s operational legal architecture and is intended to be read in conjunction with our Master Service Terms and specific engagement proposals. Where a mutually signed Master Service Agreement (MSA), Statement of Work (SOW), or bilateral Non-Disclosure Agreement (NDA) contains more specific or differing terms, the signed agreement shall strictly prevail for that engagement.
