Scope & Contractual Summary

The master commercial legal framework governing Goafreet client engagements, deliverables, approvals, fees, liability, and dispute resolution.

Commercial Engagement & Contractual Precedence

Where Goafreet and a client have entered into a signed agreement, accepted proposal, Statement of Work or other written commercial document containing specific terms for an engagement, those specific terms apply to that engagement and prevail over inconsistent general website terms to the extent permitted by law.

Scope of Services & Deliverables

The scope of services, specific deliverables, project milestones, included revision rounds, and estimated delivery timelines are strictly limited to those expressly enumerated in the applicable SOW or proposal. Any feature, service, or creative variant not explicitly described in writing shall be deemed out-of-scope and subject to separate commercial quotation under our Change Request Policy.

Client Prerequisites & Dependencies

Client acknowledges that timely delivery depends upon client cooperation. Client agrees to: (a) provide high-resolution brand assets, accurate product copy, technical specifications, and regulatory disclosures promptly; (b) grant timely delegated access to necessary digital platforms and ad accounts; and (c) designate authorized representatives empowered to approve deliverables. Project delays resulting from client inaction or missing prerequisites shall extend delivery deadlines accordingly.

Review, Approvals & User Acceptance Testing

Goafreet may rely on approvals and instructions received from the client's authorised contacts. Where a deliverable was accurately presented for approval and the client expressly approved it, subsequent changes requested because of a change in preference, brief or business requirement may be treated as additional scope.

Professional Fees, Invoicing & GST

Payment schedules, deposits, retainers, milestones and due dates are those stated in the applicable quotation, proposal, invoice or signed agreement. All quoted prices are exclusive of Goods and Services Tax (GST) and other statutory levies, which shall be invoiced at the prevailing statutory rates under Indian law.

Third-Party Expenses & Direct Media Spend

Unless expressly bundled in a signed agreement, all third-party expenses—including direct advertising media spend (Google Ads, Meta Ads, Amazon Sponsored Ads), platform subscription fees (Shopify, ERP, CRM), domain registrations, web hosting, font licences, paid stock assets, and influencer fees—are the direct financial responsibility of the Client. Client shall maintain valid payment methods directly on advertising accounts.

Revisions vs Material Change Requests

Service packages include a defined number of iterative revision rounds as specified in the SOW. Iterative revisions comprise minor typography adjustments, color tweaks, or content alignments within the agreed brief. Material brief alterations, fundamental design direction overhauls, or requests for additional pages/features constitute new work and will be quoted separately.

Global No-Results-Guarantee Disclaimer

Goafreet provides professional strategy, execution, management, creative, technical and advisory services. Unless a specific result is expressly guaranteed in a signed written agreement, Goafreet does not guarantee any particular commercial, marketing, advertising, search, marketplace, technical or business outcome. Results are influenced by numerous factors outside Goafreet’s reasonable control.

Intellectual Property Rights & Deliverables

Upon full settlement of all invoiced fees for the engagement in accordance with the signed agreement, Goafreet transfers to Client all transferable ownership rights in the final approved deliverables. Goafreet retains proprietary ownership of its pre-existing code libraries, developer tools, proprietary algorithms, design frameworks, and unaccepted creative concepts.

Mutual Confidentiality

Both parties agree to hold in strict confidence all proprietary business plans, financial data, customer records, software source code, and commercial strategies disclosed during the engagement. Confidential information shall not be disclosed to third parties without prior written consent, except to authorized personnel and professional advisers who operate under equivalent confidentiality obligations.

Limitation of Liability

To the maximum extent permitted by applicable Indian law: (a) neither party shall be liable for indirect, incidental, consequential, special, or punitive damages, including loss of profits, revenue, or business reputation; and (b) liability arising under specific client agreements shall be governed by the liability terms and caps negotiated in the applicable signed contract. Nothing in these terms excludes, restricts or modifies any right or remedy that cannot lawfully be excluded under applicable law.

Governing Law & Dispute Resolution

These terms are governed by the laws of India, subject to any different governing-law or dispute-resolution provision expressly agreed in a signed contract. The parties shall first seek to resolve disputes through good-faith business escalation.

Contractual Hierarchy & Precedence

This document forms part of Goafreet’s operational legal architecture and is intended to be read in conjunction with our Master Service Terms and specific engagement proposals. Where a mutually signed Master Service Agreement (MSA), Statement of Work (SOW), or bilateral Non-Disclosure Agreement (NDA) contains more specific or differing terms, the signed agreement shall strictly prevail for that engagement.
