Scope & Contractual Summary

Commercial guidelines regarding invoicing schedules, milestone billing, GST compliance, reimbursable expenses, and late payment consequences.

Payment Schedules & Invoicing

Payment schedules, deposits, retainers, milestones, and due dates are strictly those stated in the applicable quotation, proposal, invoice, or signed agreement. Invoices are payable within the credit window specified in the applicable commercial document.

Goods and Services Tax (GST)

All professional fee quotations are exclusive of applicable statutory Goods and Services Tax (GST) and other statutory levies, which shall be invoiced at the prevailing statutory rates under Indian law. Clients claiming Input Tax Credit (ITC) must provide a valid GSTIN during commercial onboarding.

Direct Media Spend & Third-Party Out-of-Pocket Expenses

Unless expressly bundled in a signed agreement, all direct advertising media spend (Google Ads, Meta Ads, Amazon Ads), marketplace commissions, third-party software subscriptions (Shopify, CRM, analytics plugins), web hosting, domain registrations, paid fonts, stock media licences, and print manufacturing are external costs separate from Goafreet professional fees. Client shall maintain active billing instruments directly on third-party platforms.

Payment Methods & Currency

Domestic Indian invoices are payable in Indian National Rupees (INR) via bank transfer (NEFT/RTGS/IMPS), approved UPI business channels, or enterprise payment gateways. International accounts are settled as specified in the commercial agreement, with foreign currency conversion fees borne by the Client.

Overdue Payments & Service Suspension

Payment schedules and due dates are those stated in the applicable agreement or invoice. Goafreet may pause work or suspend active campaign management on materially overdue accounts after reasonable notice, subject to the applicable agreement and law.

Disputed Invoices

If Client disputes any specific line item on an invoice in good faith, Client must notify Goafreet in writing within the dispute window specified in the SOW, specifying the factual grounds for dispute. Client shall pay all undisputed amounts while the parties expeditiously resolve the disputed portion.

Contractual Hierarchy & Precedence

This document forms part of Goafreet’s operational legal architecture and is intended to be read in conjunction with our Master Service Terms and specific engagement proposals. Where a mutually signed Master Service Agreement (MSA), Statement of Work (SOW), or bilateral Non-Disclosure Agreement (NDA) contains more specific or differing terms, the signed agreement shall strictly prevail for that engagement.
