Scope & Contractual Summary

Marketplace Operational Scope
Goafreet provides specialized account management tailored to Amazon, Flipkart, Meesho, and brand storefronts, including catalog management, listing optimization, enhanced brand content, sponsored ads management, and account health monitoring as contracted in the SOW.
Client Product Legality & Statutory Compliance
Client represents and warrants that: (a) All products listed on marketplaces are lawful, genuine, and authentic; (b) Product packaging complies with applicable statutory rules including accurate manufacturer, importer, or packer details where required; (c) Client possesses valid invoices, licences, product certifications, and regulatory documents; (d) Client holds all necessary brand authorization; and (e) Client fulfills warranty and consumer obligations.
Seller Account Ownership & Delegated Access
Client remains the sole legal owner and administrative master of its seller accounts. Management must be facilitated through delegated user permissions. Client is responsible for tax filings, statutory TCS reconciliations, and direct settlement of marketplace fees.
Disclaimer of Marketplace Guarantees
Goafreet does not guarantee seller registration approval, category approval, listing approval, account reinstatement, Buy Box (Featured Offer) ownership, sales volumes, marketplace rankings, or marketplace continuity. Goafreet cannot override independent marketplace policy decisions or algorithm rules.
Inventory & Fulfilment Responsibility
Client remains solely responsible for inventory availability, pricing approvals, warehouse stock replenishment, and fulfilment responsibilities not specifically contracted to Goafreet.
Contractual Hierarchy & Precedence
This document forms part of Goafreet’s operational legal architecture and is intended to be read in conjunction with our Master Service Terms and specific engagement proposals. Where a mutually signed Master Service Agreement (MSA), Statement of Work (SOW), or bilateral Non-Disclosure Agreement (NDA) contains more specific or differing terms, the signed agreement shall strictly prevail for that engagement.
