Ownership rules for brand marks, website designs, client-provided assets, deliverable source files, and open-source libraries.

Goafreet Proprietary Assets

The Goafreet trade name, logo, website layout, original articles, software source code, proprietary algorithms, calculators, design systems, and methodology frameworks are the intellectual property of Goafreet, protected under applicable Indian and international copyright and trademark laws.

Client-Provided Pre-Existing Materials

Client retains all right, title, and interest in and to all pre-existing trademarks, logos, product imagery, marketing copy, and proprietary data supplied to Goafreet. Client grants Goafreet a non-exclusive licence to use such materials solely for delivering the contracted services.

Deliverables Ownership & Transfer Conditions

Ownership of custom creative and technical deliverables created specifically for Client under a signed Statement of Work transfers to Client only upon full, final settlement of all invoiced fees in accordance with the signed agreement.

Open-Source Software & Third-Party Licences

Web and software deliverables frequently incorporate open-source libraries, UI components, and software frameworks. Such software remains subject to its respective open-source licences, which govern its ongoing deployment.

Contractual Hierarchy & Precedence

This document forms part of Goafreet’s operational legal architecture and is intended to be read in conjunction with our Master Service Terms and specific engagement proposals. Where a mutually signed Master Service Agreement (MSA), Statement of Work (SOW), or bilateral Non-Disclosure Agreement (NDA) contains more specific or differing terms, the signed agreement shall strictly prevail for that engagement.
